1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Orchest HQ ("Orchest," "we," "us," or "our") governing your use of the orchesthq.com website and the Orchest HQ platform (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the authority to enter into these Terms on behalf of yourself or the organization you represent.

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@orchesthq.com if you suspect unauthorized access to your account.

4. Use of the Service

4.1 Permitted Use

You may use the Service to create and manage AI agents, connect integrations, build knowledge bases, and interact with agents through supported channels (such as Slack), in accordance with these Terms and applicable law.

4.2 Restrictions

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use the Service to generate, store, or distribute content that is harmful, abusive, defamatory, or infringing.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, sublicense, or redistribute the Service without our prior written consent.
  • Use the Service in a manner that could damage, disable, overburden, or impair the Service.
  • Upload malicious content, viruses, or other harmful material.

5. Your Content

5.1 Ownership

You retain all ownership rights in the content you upload, sync, or input into the Service ("Your Content"), including knowledge base documents, conversation messages, and agent configurations.

5.2 License to Orchest

You grant us a limited, non-exclusive, worldwide license to use, process, store, and transmit Your Content solely for the purpose of providing and improving the Service. This includes sending content to third-party LLM providers to generate agent responses.

5.3 Responsibility

You are solely responsible for Your Content and ensuring that it does not violate any third-party rights or applicable laws. We do not pre-screen or monitor Your Content but reserve the right to remove content that violates these Terms.

6. AI-Generated Output

The Service uses artificial intelligence to generate responses, summaries, code suggestions, and other output ("AI Output"). AI Output is provided on an "as-is" basis and may contain errors or inaccuracies. You are responsible for reviewing and validating all AI Output before relying on it. We do not guarantee the accuracy, completeness, or suitability of AI Output for any particular purpose.

7. Third-Party Integrations

The Service integrates with third-party platforms (including Slack, GitHub, and Google). Your use of these integrations is subject to the respective third-party terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

8. Fees and Payment

Certain features of the Service may require payment. If you subscribe to a paid plan, you agree to pay the applicable fees as described at the time of purchase. Fees are non-refundable unless otherwise stated. We reserve the right to change pricing with reasonable notice.

Usage-based charges (such as AI token consumption) are billed based on actual usage. You can monitor your usage from the dashboard.

9. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Orchest HQ and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it as described herein.

10. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the dashboard. We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice, except in cases of egregious violations where immediate termination is warranted.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORCHEST HQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR US $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Orchest HQ, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, Your Content, or violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the Netherlands.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
